These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Mandel AI, Inc. ("Mandel AI," "we," "us," or "our") governing your access to and use of the Mandel AI supply chain coordination platform, website, APIs, and related services (collectively, the "Services"). By creating an account, clicking "I agree," or otherwise accessing or using the Services, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you may not use the Services.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, where appropriate, sending an email notification. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.
To access most features of our Services, you must register for an account. When registering, you agree to: provide accurate, current, and complete information; maintain and promptly update your account information; keep your password secure and confidential; notify us immediately of any unauthorized use of your account; and accept responsibility for all activities that occur under your account.
You may not share your account credentials with others or create accounts for the purpose of circumventing our pricing or usage policies. We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently or in violation of these Terms.
We offer various subscription plans with different features and usage limits. Your subscription tier determines which features you can access and the volume of supply chain data you can process. Details of each plan are available on our pricing page and may be updated from time to time.
Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen billing cycle. Payment is due at the beginning of each billing period. We accept major credit cards and ACH transfers. You authorize us to charge your payment method for all fees incurred. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
We may offer a free trial period for new customers. Unless you cancel before the trial period ends, your trial will automatically convert to a paid subscription and you will be charged the applicable subscription fee.
We may change our subscription fees at any time. We will provide at least 30 days' notice of any price increase before it takes effect. Your continued use of the Services after the effective date of the price change constitutes your acceptance of the new fees.
All fees are exclusive of applicable taxes. You are responsible for paying all taxes, levies, or duties imposed by taxing authorities associated with your use of the Services, excluding taxes based on Mandel AI's income.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may use the Services to manage and optimize your supply chain operations, analyze logistics data, coordinate with suppliers and carriers, and generate insights for business decisions.
You agree not to engage in any of the following prohibited activities:
The Services, including all software, algorithms, AI models, documentation, and content provided by Mandel AI, are protected by intellectual property laws and owned by Mandel AI or its licensors. These Terms do not grant you any ownership rights in our IP. You receive only a limited, non-exclusive, non-transferable license to use the Services as described in these Terms.
You retain ownership of all data, content, and information you upload to or process through the Services ("Customer Data"). By using the Services, you grant Mandel AI a limited license to process your Customer Data solely to provide and improve the Services. We will not use your Customer Data for any other purpose without your consent.
If you provide suggestions, feedback, or ideas about the Services, you grant Mandel AI a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose such information to third parties without prior written consent. Confidential information includes: business plans, financial data, technical specifications, customer lists, pricing, and any information designated as confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
When you use our Services to process personal data of your customers or employees, Mandel AI acts as a data processor on your behalf. Our Data Processing Agreement (available upon request) governs such processing and forms part of these Terms for customers subject to GDPR or similar regulations.
We warrant that the Services will perform materially in accordance with our documentation under normal use. EXCEPT FOR THIS LIMITED WARRANTY, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MANDEL AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Mandel AI and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: your violation of these Terms; your use of the Services; your Customer Data; or your violation of any third-party rights or applicable laws.
These Terms are effective as of the date you first accept them and continue until terminated. You may terminate your subscription at any time through your account settings. Termination will take effect at the end of your current billing period. We may suspend or terminate your access to the Services immediately if you violate these Terms, fail to pay fees, or if we are required to do so by law. Upon termination, you must cease all use of the Services, and we may delete your account and Customer Data after a grace period in accordance with our data retention policy.
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in court for IP infringement or misappropriation of trade secrets. The arbitration will be conducted in New York, NY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.
Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any applicable order forms or data processing agreements, constitute the entire agreement between you and Mandel AI regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
